If the Cardholder declines DCC, the transaction will be processed in AED. The Merchant accepts responsibility for any chargebacks or fines resulting from the misuse of DCC by the Merchant, including but limited to a failure by the Merchant to offer both AED as well as the Card Currency, and will indemnify and hold harmless Mercury for any losses, claims, fines, penalties resulting from such misuse.

11.2. Changes and Restrictions:
The Merchant shall provide Mercury with no less than fourteen (14) days’ prior written notice of any change to the Bank Account. The Merchant agrees to cooperate fully with Mercury and provide any requested documents or information to assist in resolving disputes raised by a Cardholder, Issuer, or Card Scheme. Failure to provide the requested documentation within the specified timeframe shall result in a Chargeback, for which the Merchant shall be fully liable.
13. SALE PROCEEDS AND SETTLEMENT OF FUNDS
13.1. Settlement of Sale Proceeds:
Mercury shall settle the Sale Proceeds by crediting the Bank Account in accordance with the Settlement Cycle specified in the Application Form. Mercury reserves the right to modify the funding frequency at any time upon providing prior written notice to the Merchant.

The Merchant acknowledges that funds and/or collateral held under this Agreement do not constitute a deposit and shall not bear any interest.
13.6. Withholding, Retention and Lien over Funds:
13.6.1. Without prejudice to any other rights under this Agreement, Mercury may delay, withhold, or retain settlement of funds, and/or adjust against collateral or outstanding amounts, in any of the following events:

Any request by the Merchant to settle Sale Proceeds to a third-party bank account, including an account held by an Affiliate, shall be subject to Mercury’s sole discretion and Applicable Laws. Mercury may, where applicable, require the submission of documents and/or information deemed reasonably necessary to process such request. Mercury shall not be liable for any settlements made to such third-party or Affiliate bank accounts, including but not limited to any hypothecation or encumbrance of Sale Proceeds by the designated beneficiary.
14.2. Buy-Now-Pay-Later (BNPL) Transactions:
Where the Merchant has enabled a buy-now-pay-later (“BNPL”) payment method, Mercury shall be entitled to deduct applicable fees payable to the BNPL service provider directly from the gross Sale Proceeds to be settled to the Merchant. 14.3. Assignment of Sale Proceeds to a Lender:
If the Merchant obtains any financial product, including a loan or cash advance, from a third-party lender (“Lender”) secured against future Sale Proceeds receivables, Mercury may, upon the Merchant’s written request and at its sole and absolute discretion, mark a lien on all or part of the Sale Proceeds in favor of the Lender.

14.4.2. Mercury may deposit all or a portion of the Sale Proceeds directly into the designated bank account of the Lender or such other account as directed by the Lender; and
14.4.3. Such deposit shall constitute full and final discharge of Mercury’s obligation to transfer the corresponding Sale Proceeds to the Merchant under this Agreement.
14.5. No Waiver of Rights; No Third-Party Obligation:
The Merchant agrees that the marking of any lien and transfer of Sale Proceeds to a third-party bank account, Affiliate bank account, or any account held with or designated by the Lender shall be without prejudice to Mercury’s rights under this Agreement, including its rights to withhold, retain, deduct, or apply Sale Proceeds under Clause 13 of this Agreement and other applicable provisions. Mercury shall not assume any liability or obligation toward the Lender or any third party in relation to such arrangements.

15.8. Refund Funding and Refusals:
Mercury may, at its sole discretion, decline to process a Refund unless the amount to be refunded has first been deposited by the Merchant into the designated Bank Account.
(Chargeback).
3D Secure.
(Double Swiping)
(Pre-Authorized Recurring Payments)
(Merchant Settlement Account)
(Direct Debit Authorization)
(Set-Off)

(Refunds)

(Refund).
